Terms of Service

1. Introduction / Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of LoopControl (the "Service"), operated by Dot Dev Labs LLC ("we," "us," or "our"), a Wyoming single-member LLC. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

LoopControl is a platform that provides managed containerized agent environments on Kubernetes, enabling autonomous software engineering workflows. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable notice.

3. Account Terms

• You must be at least 18 years old and capable of forming a binding contract to use the Service.
• You are responsible for maintaining the security of your account credentials. Notify us immediately of any unauthorized access.
• You are responsible for all activity that occurs under your account.
• One person or legal entity may not maintain more than one free account.

4. Subscription Billing, Auto-Renewal, and Cancellation

Paid plans are billed on a recurring basis (monthly or annually as selected at checkout).

• Auto-renewal. Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file at the then-current subscription rate.
• Price changes. We will provide at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance of the new price.
• Cancellation. You may cancel your subscription at any time from your account billing settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until then.
• Downgrade / free tier. Cancelling a paid plan downgrades your account to any available free tier. Resources exceeding free-tier limits may be suspended upon downgrade.

All payments are processed by Stripe. By providing payment information you agree to Stripe's Services Agreement.

5. Usage-Based and Top-Up Charges

Certain Service tiers include a compute-hour allowance. If your usage exceeds the included allowance, overage charges may apply at the rates shown in your account or at checkout. You may also purchase prepaid compute-hour top-ups. Top-up credits are non-refundable and expire as stated at the time of purchase.

6. Refunds

We do not offer refunds for partial subscription periods. If you cancel mid-period you will retain access through the end of the paid period. We may issue refunds at our discretion in cases of service outages or billing errors. To request a refund, contact [email protected].

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of others.
• Transmit malware, viruses, or other harmful code.
• Conduct denial-of-service attacks or other disruptive activities.
• Scrape, mine, or harvest data from the Service without authorization.
• Resell or sublicense access to the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these policies without notice or refund.

8. Intellectual Property

The Service, including all software, designs, text, and graphics, is owned by Dot Dev Labs LLC and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of any code, content, or data you upload to or generate through the Service. By using the Service you grant us a limited license to host and process that content solely to provide the Service to you.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOT DEV LABS LLC, ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

11. Changes to Terms

We may revise these Terms from time to time. We will provide notice of material changes by posting the updated Terms on this page with a new "Last updated" date, and where appropriate by email. Your continued use of the Service after the effective date of any revision constitutes your acceptance of the updated Terms.
